The Senior Counsel will serve as a key legal advisor on mergers, acquisitions, divestitures, and strategic business transactions, partnering closely with Corporate Development and senior business leaders. The person should be capable of independently running significant portions of a deal, identifying legal and business risks early, negotiating transaction documents, and helping drive integrations following acquisitions. This role requires the ability to confidently engage with senior executives, communicate complex legal and business issues clearly, and build trusted relationships with leadership throughout the transaction lifecycle

Responsibilities

  • Support all legal aspects of mergers, acquisitions, joint ventures, minority investments, and other strategic transactions
  • Review and negotiate non-disclosure agreements
  • Prepare and negotiate transaction documents, including letters of intent, purchase agreements, and ancillary transaction documents
  • Coordinate due diligence review and work closely with subject matter experts
  • Prepare materials for executive review regarding deal structure and risks
  • Ensure compliance with regulatory matters, including assisting with the facilitation of regulatory approval processes for transactions
  • Provide support for integration related legal matters.
  • Direct and manage external law firms to ensure transaction deadlines are met and completed within budget
  • Work on complex legal issues where analysis requires identification and evaluation of multiple factors
  • Manage legal matters provided to a number of in-house constituents within practice area(s)
  • Exercise independent judgment regarding legal advice with limited supervision of more senior attorney
  • Participate in and may lead departmental and cross-functional working groups in identified areas of legal expertise or development
  • May manage support staff.


Qualifications

  • JD from an ABA accredited law school
  • Five years of relevant legal experience
  • Licensed or eligible to practice in the applicable state
  • Ability to effectively communicate, both written and oral, with the intended audience
  • Ability to exercise sound judgment in a fast paced environment
  • Ability to exercise agility and adaptability in providing legal advice
  • Comfortable in a rapidly changing corporate environment
  • Proficient using MS Office


Preferred Qualifications

  • Strong M&A experience.
  • Experience negotiating and managing key transaction documents (E.G.; Stock Purchase Agreements (SPAs), Asset Purchase Agreements (APAs), Letters of Intent (LOIs), Due diligence and transaction execution activities)
  • Experience in regulated industry.
  • Experience handling material acquisitions and divestitures.
  • Experience with post-acquisition integration and transition activities.

Working Conditions

  • Hybrid Office Environment
  • Ability to travel up to 25% of the time

Compensation

  • The Salary for this position generally ranges between $150,000 - $200,000 annually. Please note that the salary range is a good faith estimate for this position and actual starting pay is determined by several factors including qualifications, experience, geography, work location designation (in-office, hybrid, remote) and operational needs. Salary may vary above and below the stated amounts, as permitted by applicable law.

  • Additionally, this position is typically eligible for an Annual Bonus based on the Company Bonus Plan/Individual Performance and is at the Company’s discretion.

This is a hybrid position requiring three days in office per week in one of our hub locations (Philadelphia, New York, Baltimore).  Relocation assistance will not be provided for this position.
